# Individual Contributor License Agreement

This Individual Contributor License Agreement (the "Agreement") is between you (the "Contributor") and the maintainers of [PROJECT NAME] (the "Project"). It applies to every Contribution you submit to the Project, now or in the future, until you revoke it in writing to [CONTACT EMAIL]. Revocation does not affect Contributions you have already submitted.

A shorter alternative, the Simple CLA, is available for projects that do not need the third-party content disclosure or notification clauses below.

## 1. Definitions

"Contribution" means any work of authorship, including modifications or additions, that you submit to the Project. Submission includes any electronic delivery to the Project (for example, a pull request, patch, issue containing code, or message on a Project channel) that you mark or otherwise indicate as a contribution.

"You" means the individual signing this Agreement. If you are signing on behalf of an employer, sign the Corporate CLA instead.

"Project Maintainers" means the persons or entities responsible for accepting Contributions into the Project.

## 2. Copyright License

You grant the Project Maintainers and recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contributions and derivative works of them.

## 3. Patent License

You grant the Project Maintainers and recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer your Contributions. This license covers only the patent claims you own or control that are necessarily infringed by your Contributions alone or by your Contributions combined with the Project. If any party brings patent litigation alleging that your Contribution or the Project infringes a patent, the patent licenses granted to that party under this Agreement terminate as of the date the litigation is filed.

## 4. Representations

You represent each of the following:

1. You have the legal right to grant the licenses in sections 2 and 3.
2. Each Contribution is your original work, or you have sufficient rights to submit it under this Agreement.
3. You will identify any third-party material in your Contribution and the license that covers it (see section 5).
4. If your employer has rights in any Contribution, you have either secured permission to make the Contribution under this Agreement or your employer has signed the Corporate CLA covering you.
5. Each Contribution is provided on an "AS IS" basis, without warranties or conditions of any kind, express or implied, including title, non-infringement, merchantability, or fitness for a particular purpose, to the extent waivable under applicable law.

## 5. Submission of Third-Party Material

If a Contribution includes material that is not your original work (for example, code from another project, or AI-generated code derived from a model trained on licensed material), you must identify the source and the applicable license at the time you submit the Contribution. The third-party license must be compatible with the Project's primary license. Disclose this in the pull request description, the commit message, or another channel the Project Maintainers can verify.

## 6. Notification

You agree to notify the Project Maintainers in writing at [CONTACT EMAIL] if you become aware of any fact that would make any representation in section 4 inaccurate.

## 7. Support

You are not required to support your Contributions. You may provide support if you choose to.

## 8. Governing Law

This Agreement is governed by the laws of [GOVERNING JURISDICTION], without reference to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement will be resolved in the courts of [GOVERNING JURISDICTION].

## 9. Entire Agreement

This Agreement is the entire agreement between you and the Project Maintainers regarding your Contributions and supersedes any prior understanding on the subject.
